  • Consultation regarding structure and formation of business entities (such as partnerships, limited partnerships, sole proprietorships, corporations, and limited liability companies);
  • Preparation of company documentation and records (such as shareholder agreements and buy/sell agreements), drafting operating agreements, corporate governance documents, bylaws, minutes, shareholder agreements and partnership agreements;
  • Consultation, counseling, and preparation of business purchase and sale agreements, acquisitions, dispositions, shareholder and membership interest buyouts, and shareholder and partnership disputes and resolutions;
  • Reviewing, drafting, and negotiating real estate purchase and sale agreements, ground leases, and option agreements for acquiring, developing, redeveloping, and disposing of various real estate assets, including commercial, retail, office, industrial, residential, mixed-use, and undeveloped land;
  • Reviewing, drafting, and negotiating commercial leases and related documents;
  • Consultation, counseling, reviewing, and negotiating joint venture agreements, development agreements, construction agreements, asset management agreements, and property management agreements;
  • Review of due diligence matters related to the acquisition of real estate and development projects, including the review, drafting, and negotiating of loan documents;
Real Estate Litigation

Representative work includes negotiation of more than $700 million in commercial property acquisitions, development projects, and financing transaction; negotiation of complex commercial lease transactions; involvement with the development of mixed-use high rise projects (including a 45-story high-rise mixed use ground up development, and adaptive reuse conversion of 300,000 square foot office building to luxury condominiums).
